The 39th Annual Meeting of the Big Sky Owners Association was held on Friday, September 2, 2011 at 1:00 PM in the Talus Room of the Summit Hotel in Mountain Village. Chairman Rumsey Young welcomed the membership and began the meeting with introductions:

· The BSOA Board of Directors present including: Vice Chair Steve Barrett, Treasurer Kevin Frederick, and Directors Mitch Furr, Don Loyd, Barb Rooney, and Sharon Douglas. Will Brunner was unable to attend the meeting;

· Volunteers comprising the Big Sky Architectural Committee present including: Brian Wheeler, Trever McSpadden, and Stacy Ossorio. Elliot Iszler and Kenny Holtz were unable to attend. Chairman Young also noted that Mitch Furr and Sharon Douglas serve on the BSAC in their capacity as Board Directors; and

· Staff present including Michele Geppert, Robin Hicks, Krista Mach, Mary Jane McGarity, Mindy Nowakowski, and Janet Storey.

Rumsey presented his Chairman’s Report to the membership with a review of BSOA issues:

· BSOA Website and Electronic Newsletters –a redesign of the BSOA website was completed. Members can now log-on to obtain architectural review information, read meeting minutes, view upcoming meeting agendas, file a covenant compliance complaint, send an e-mail to a board or committee member, or make a jurisdiction determination.

· Winter Road Maintenance Contracts –This year, the BSOA completed a competitive bid process, advertised for bid, selected contractors for winter road maintenance for both Madison and Gallatin County Roads, and negotiated contracts with Frontier Construction and K7 Snow Works. Snow removal contractors Wayne Heath of Frontier Construction and Kevin Kusto of K7 Snow Works were introduced. Rumsey noted that the negotiation of BSOA’s 5-year reimbursement contract with Madison County was completed as well with a net savings of over $46,000 achieved.

· Little Coyote Speed Limit and Guard Rail Repairs – BSOA prevailed in placing an enforceable speed limit of 25 miles per hour on Little Coyote Road this year. Also, BSOA worked with the Gallatin County Finance Director and the Senior Project Manager for Gallatin County RID’s to arrange for guard rail repair and replacement at the Little Coyote Pond.

· Bears and Trash – BSOA worked closely with Allied Waste to run field trials on bear tested locking cans. Chairman Young noted that he owns a bear safe can and encouraged members to order one for their property.

· Little Coyote and Silver Bow Ponds – While seemingly simple to solve, Chairman Young reported that the solution is incredibly complicated and involves water rights, flood plain modeling, and several other expensive permits.

Chairman Young’s closing comments acknowledged the difficulty BSOA has had trying to get Bulldog Cable to properly bury their utility cables and store cable spools and equipment off road right of ways. Rumsey reported that the Chairman of Bulldog attended the July meeting of the BSOA Board of Directors and that the Board is working hard to avoid litigation regarding this problematic utility.

Chairman Young then asked Director Rooney if quorum had been achieved so that the annual meeting could be called to order. Director Rooney stated that the total BSOA Membership Interests in good standing was 2,213 with 553 returned ballots required to achieve quorum. As of close of business yesterday, 846 ballots had been received at the BSOA offices and therefore, quorum was achieved.

At the September 23, 2011 meeting of the BSOA Board of Directors, Nominations Committee Chair Will Brunner presented the final election results.

Three, 3-year Board of Director positions were open on the BSOA Board with three candidates running unopposed: Barb Rooney, Don Loyd, and Will Brunner. Election results were:

Barb Rooney (3 year term) 1034

Don Loyd (3 year term) 872

Will Brunner (3 year term) 700

Write in Candidates for the Board included Greg Fisher (3) and Robert Torter (9)

Two, 3-year Big Sky Architectural Committee member positions were open with two candidates running unopposed: Kenny Holtz and Stacy Ossorio. Election results were:

Kenny Holtz (3 year term) 777

Stacy Ossorio (3 year term) 745

Write in Candidates for the Architectural Committee included Greg Erickson (1), Ian Cartwright (2), Patrick Miller (1), Erik Lovold (1), Rumsey Young (1), and Al Malinowski (1).

BSOA Articles of Incorporation- voting interests were 2,354 with a total of 2,313 members in good standing receiving ballots. Per Articles of Incorporation, amendments may be made if quorum is 2/3 or 1542 ballots received. Because only 887 ballots were received, quorum was not achieved. Of the ballots cast, the votes for Articles of Incorporation were: Yes 823 - No 43.

Motion made by Steve Barrett to accept the BSOA Annual Meeting Election results as presented: Barb Rooney (received 1034 votes), Don Loyd (received 872 votes), and Will Brunner (received 700 votes) are elected to the BSOA Board of Directors. Kenny Holtz (received 777 votes) and Stacy Ossorio (received 745 votes) are elected to the Big Sky Architectural Committee; seconded by Mitch Furr. Motion unanimously carried.
