Definition of Key Legal Terms
Articles of Incorporation - the basic charter of a corporation which spells out the name, purpose, incorporators, and any special characteristics such as being non-profit. The starting point for filing and approval of articles of incorporation is usually the state's Secretary of State.
Bylaws - the written rules for conduct of a corporation, association, partnership or any organization. They should not be confused with the articles of incorporation, which only state the basic outline of the company. Bylaws generally provide for meetings, elections of a board of directors and officers, filling vacancies, notices, types and duties of officers, committees, assessments and other routine conduct. Bylaws are in effect a contract among members and must be formally adopted and/or amended.
Certificate of Incorporation - document which some states, including Montana, issue to prove a corporation's existence upon the filing of articles of incorporation.
Covenants, Conditions and Restrictions (CC&R's) - commonly called "CC&Rs," these are written rules, limitations and restrictions on use, applicable to all owners of homes in a subdivision or condominium complex. CC&Rs may limit size and placement of homes, exterior colors, pets, use of barbecues and other conduct to protect the quiet enjoyment of the various residents. CC&Rs are enforced by the homeowners association or by individual owners who can bring lawsuits against violators. The CC & Rs are permanent or "run with the land" so future owners are bound to the same rules.
Resolution/Policy - a determination of policy of a corporation by the vote of its board of directors. Resolutions are often statements of policy, belief or appreciation, and not always enactment of statutes or ordinances.
Governing Documents of the BSOA
Title 35 of the Montana Code Annotated (MCA) entitled Corporations, Partnerships, and Associations, defines how governing documents, amendments to governing documents, and activities of the Board of Directors, are defined and established for organizations. Governing documents important to both the BSOA and BSCC include a certificate of incorporation, articles of incorporation, bylaws, resolutions, and CC&R's.

These documents are on record with the Gallatin County and Madison County Clerk and Recorders' offices and official copies should be obtained from their offices. Persons should not rely on these documents as the Big Sky Owners Association does not regularly update these documents (i.e., for changes, deletions, supplements, and/or amendments).
